Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Cubent.Dev, the browser extension, integrated development tools, website, APIs, and all associated services (collectively, the “Service”), provided by Logicent Technology Ltd (“Cubent”, “we”, “our”, or “us”).

By clicking “I Agree,” installing or using the Cubent.Dev extension (for VS Code, JetBrains, or other supported environments), or accessing any part of the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not install, access, or use Cubent.Dev.


1. Eligibility

To use the Service, you must:

  • Be at least 13 years old;

  • Not be prohibited from using the Service under applicable laws;

  • Have the authority to bind an organisation, if registering on its behalf.


2. Account and Registration

You may need to create an account to access certain features. You agree to:

  • Provide accurate and complete information;

  • Keep your credentials secure;

  • Notify us at info@cubent.dev if you suspect unauthorised access.

You are responsible for all activities under your account.


3. Plans and Subscriptions

Cubent.Dev offers various plans for individuals and organisations:

3.1. BYAK Plan – $5/month (Early Access)

Designed for individual developers and hobbyists. Includes:

  • Full AI coding assistance in VS Code & JetBrains

  • Unlimited messages and conversations

  • Bring-your-own API key (OpenAI, Anthropic, etc.)

  • Access to Chat Mode, Agent Mode, and Terminal Mode

  • Tool call integration & custom commands

  • 23+ AI models

  • 7-day free trial included

3.2. Pro Plan – Coming Soon

For production-level individual use. Adds:

  • Cubent Units included (no API keys needed)

  • Advanced code generation & refactoring

  • Enhanced debugging tools

  • Priority support and faster response times

3.3. Team Plan – Coming Soon

For collaborative engineering teams. Adds:

  • Shared team workspace and configurations

  • Code review tools and insights

  • Advanced security and compliance

  • Team billing and permissions

  • Priority email support and onboarding

3.4. Enterprise Plan – Custom Pricing

For large-scale enterprise deployments. Adds:

  • Custom AI model integration and fine-tuning

  • On-premise or air-gapped deployments

  • SLA guarantees & 24/7 premium support

  • Dedicated account manager

  • Compliance certifications and integration support

3.5. Billing and Renewals

All paid plans auto-renew on a monthly basis unless cancelled beforehand. You can cancel your subscription via the billing settings. All fees are non-refundable unless required by law.


4. Licenses and Restrictions

4.1. License Grant

Subject to these Terms and your payment (if applicable), Cubent grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the Cubent.Dev extension on your own IDE (VS Code, JetBrains)

  • Access and use the Service for your personal or internal business use

4.2. Restrictions

You may not:

  • Reverse-engineer or decompile any part of the Service;

  • Reproduce, sell, or sublicense the Service;

  • Interfere with or disrupt the Service;

  • Use the Service for unlawful, harmful, or unethical activities.


5. User Content and Data Usage

5.1. Input and Suggestions

By submitting content (e.g., prompts, code snippets, or natural language queries), you grant Cubent a license to process that content to:

  • Provide responses and code completions (“Suggestions”);

  • Improve and monitor the Service (in anonymised or opt-in training contexts only).

5.2. Data Use and Training

We do not use your Inputs or Suggestions to train our models unless:

  • You explicitly opt-in to training;

  • You submit content as feedback;

  • It is flagged for security review.

Training options can be configured in your account settings.

5.3. Ownership

You retain all rights to the content you submit. We retain all rights to the Service, including enhancements derived from anonymised, aggregate usage data.


6. Acceptable Use

By using Cubent.Dev, you agree not to:

  • Violate any applicable law;

  • Upload harmful, unlawful, or infringing material;

  • Attempt to disrupt or harm the Service or infrastructure;

  • Circumvent access restrictions or abuse the system;

  • Use automation or bots to scrape, overload, or misuse the platform.

We reserve the right to suspend or terminate access for violations.


7. Beta Features

You may receive access to beta or pre-release features. These are provided “as-is” and may be modified or removed at any time without notice or liability.


8. Security and Data Protection

We take reasonable technical and organisational steps to protect your data. For details, refer to our Privacy Policy. However, no system is completely secure, and you use the Service at your own risk.


9. Termination

9.1. Termination by You

You may stop using the Service or cancel your subscription at any time via your account dashboard.

9.2. Termination by Cubent

We may suspend or terminate your access at our sole discretion for:

  • Violating these Terms;

  • Legal or security concerns;

  • Non-payment (for paid plans)


10. Modifications

We may modify these Terms at any time. We will notify you via email or our website. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.


11. Disclaimers

The Service is provided “as-is” and “as available”. We do not guarantee:

  • That the Service will always function uninterrupted;

  • That Suggestions will be accurate or error-free;

  • That any outcomes or results will meet your expectations.

We disclaim all warranties, express or implied.


12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages;

  • Our total liability is limited to the amount you paid in the last 12 months, or £100, whichever is greater.


13. Indemnification

You agree to indemnify and hold Logicent Technology Ltd harmless from any claims, losses, liabilities, or costs arising from:

  • Your misuse of the Service;

  • Violation of these Terms;

  • Violation of any law or third-party rights.


14. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
